subforge — Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you", "your", or "Customer") and Hidef Software Limited, a company registered in England & Wales (company number 09007533, VAT number 186 5971 52, registered office 22 Wyburn Avenue, High Barnet EN5 5TG) ("subforge", "we", "us", "our"), governing your access to and use of the subforge hosted Subversion (SVN) platform, website, and related services (together, the "Service").

By creating an account, or by accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm you are authorised to bind that organisation, and "you" includes that organisation.

If you do not agree to these Terms, do not use the Service.

1. The Service

subforge is a hosted SVN platform aimed at small teams, providing repository hosting, a web interface for browsing code and history, per-directory and team-based access control, repository import/mirroring, and continuous integration features. The specific features available to you depend on your plan and may change over time.

2. Beta status — important

The Service is currently offered as a beta. This means:

  • It is provided "as is" and "as available", and may contain bugs, errors, or incomplete features.
  • We provide no service-level agreement (SLA), no uptime guarantee, and the Service runs on limited infrastructure. It may be unavailable, slow, or interrupted at any time, including for maintenance, without notice.
  • Features may be added, changed, or removed at any time.
  • You are responsible for keeping your own copies of your data. SVN is distributed in nature and your local working copies and checkouts are full copies of your files; you should not rely on subforge as your only copy. See Section 11 (Data and backups).

We will give reasonable notice of material changes where we can, but during beta we may make changes more frequently.

3. Eligibility and accounts

  • You must be at least 16 years old to use the Service.
  • You must provide accurate account information and keep it up to date.
  • You are responsible for safeguarding your password and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorised access.
  • You may not share accounts, or transfer your account to anyone else without our consent.
  • Accounts are currently created by invitation and/or signup; we may decline or revoke access at our discretion, particularly during beta.

4. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. In short, you must not use the Service to host or distribute unlawful, infringing, or malicious content, to attack or overload the Service or others, or to interfere with other users.

We may suspend or remove content, or suspend or terminate accounts, that breach the Acceptable Use Policy or these Terms — where practical with notice, and immediately where necessary to protect the Service, our users, or third parties.

5. Your content

"Your Content" means the source code, files, binary assets, commit history, metadata, and other material you or your collaborators upload to, create on, or transmit through the Service.

  • You own Your Content. These Terms do not transfer any ownership of Your Content to us.
  • Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, and process Your Content solely as needed to operate, secure, back up, and provide the Service to you and the collaborators you authorise. This licence ends when Your Content is deleted, except for residual copies in backups or logs that are deleted in the ordinary course (see the Privacy Policy).
  • Your responsibility. You are solely responsible for Your Content and for having all rights and permissions necessary to upload it and to grant the licence above. You must not upload content you do not have the right to host.
  • Public repositories. If you mark a repository public, you make Your Content in that repository visible to anyone, and you grant other users the rights you set (e.g. to view and clone it). Choose visibility carefully.
  • No obligation to monitor. We do not pre-screen Your Content, but we may review and remove content that we reasonably believe breaches these Terms or the law. See our Copyright & Takedown Policy.

6. Our intellectual property

The Service itself — including the subforge software, website, branding, and documentation, but excluding Your Content and excluding any third-party open-source components under their own licences — is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. You may not copy, resell, reverse engineer, or create derivative works of the Service except as permitted by law.

7. Plans, fees, and billing

The Service is currently free while in beta. We intend to introduce paid plans in future.

  • We will give you reasonable advance notice before introducing charges that would apply to you, and you will not be charged for a paid plan without opting in.
  • When paid plans launch, additional billing terms (pricing, billing cycle, taxes, refunds, payment processor terms, and plan limits such as build minutes and storage) will apply and will be presented at sign-up.
  • We may change pricing and plan features with reasonable notice.

8. Usage limits and fair use

We may apply limits to protect the Service and other users, including limits on storage, bandwidth, compute/CI usage, repository size, and request rates. We may enforce read-only mode or restrict activity where resources are constrained (for example, when storage is near capacity). We may contact you about excessive or abusive usage and ask you to reduce it.

9. Suspension and termination

  • By you. You may stop using the Service and delete your account at any time. Contact us at [email protected] for account deletion.
  • By us. We may suspend or terminate your access, with or without notice, if you breach these Terms or the Acceptable Use Policy, if required by law, to protect the Service or others, or if we discontinue the Service.
  • Effect. On termination, your right to use the Service ends. We will make reasonable efforts to let you export Your Content for a reasonable period before deletion where lawful and practical, but during beta we may not be able to guarantee this. After that period, Your Content may be permanently deleted. Sections that by their nature should survive (e.g. ownership, disclaimers, liability, indemnity, governing law) survive termination.

10. Third-party services and clients

The Service interoperates with third-party SVN clients (e.g. TortoiseSVN, SmartSVN, the svn CLI) and may link to or rely on third-party services. We are not responsible for third-party software or services, and your use of them is subject to their own terms.

11. Data and backups

Your use of the Service, and our handling of personal data, are described in our Privacy Policy.

We may keep operational backups of the platform, but we do not warrant that backups exist, are complete, or can be restored, particularly during beta. You are responsible for maintaining your own independent copies of Your Content (your SVN working copies serve this purpose well). We are not liable for any loss or corruption of Your Content to the extent you could reasonably have avoided it by keeping your own copies.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any data will be preserved.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

13. Limitation of liability

To the maximum extent permitted by law, and subject to Section 12:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business, arising out of or related to the Service.
  • Our total aggregate liability arising out of or related to the Service in any 12-month period is limited to the greater of (a) the total fees you paid us for the Service in that period, or (b) £100 (GBP). (While the Service is free, fees paid will be zero, so the cap is the fixed amount.)

14. Indemnity

You agree to indemnify and hold us harmless from claims, damages, losses, and reasonable costs (including legal fees) arising out of Your Content, your use of the Service, or your breach of these Terms or applicable law, except to the extent caused by us.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or a notice in the Service). Changes take effect when posted, or on the date stated. Your continued use of the Service after changes take effect means you accept the updated Terms.

16. Governing law and jurisdiction

These Terms and any dispute arising out of them are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction, except that if you are a consumer you may also benefit from mandatory protections of the law of your country of residence.

17. General

  • Entire agreement. These Terms, together with the policies referenced in them, are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent; we may assign them as part of a reorganisation or sale of the business.
